9.1 billion! Ruisa acquires half of the conductor software dealer


 In the first quarter of 2024, Risa successively included two semiconductor manufacturers! After the acquisition of Nitrodes, the supplier of Nitrogen, Transphorm, Ruisa acquired PCB software vendor Altium at the price of 9.1 billion A $ 9.1 billion (about 42.7 billion yuan) in February.
 
On February 15th, Japanese chip manufacturer Rya Electronics announced that ALTIUM, a leading manufacturer of electronic design system software for the $ 9.1 billion printing circuit board (PCB), is the largest acquisition of Japanese listed companies so far.


 
 

Ruisa Electronics stated in the statement that all the issued shares of Altium will be acquired at the cash price of $ 68.50 per share. The transaction has been unanimously approved by the board of directors of the two companies and is expected to be completed in the second half of 2024. As a wholly -owned subsidiary of Ryesa Electronics, Altium will continue to be led by the company's chief executive officer, Aram Mirkazemi. Ruisa Electronics said the transaction also needs to be approved by ALTIUM shareholders and a Australian court.
 
Founded in 1985, Altium is the world's first PCB design tool supplier. Altium is headquartered in San Diego, California, and is listed in Australia. Last year (as of June 30, 2023) revenue was US $ 263 million. According to foreign media reports, American companies Autodesk announced in 2021 that it plans to acquire Altium for $ 5.25 billion. But Altium refused to refuse on the grounds that the price was too low.
 
Ruisa Electronics has always cooperated with Altium. Altium's PCB design software has added the world's first digital platform Altium 365 to design and realize electronic hardware, which has achieved seamless collaboration throughout the entire PCB design process. In June 2023, Ruisa Electronics announced on the Altium 365 cloud platform of Altium to achieve standardized development of all PCB design. Release the ECAD library of all its products to Altium Public Vault. With the help of manufacturer parts on the Altium365, customers can choose Ruisa Electronics parts directly from the Altium library to speed up listing. The acquisition combines Altium's advanced cloud tank function with Ruisa's powerful embedded solution combination to combine high -performance processors, simulation, power supply, and connecting. The merger will also be integrated with third -party suppliers in the entire ecosystem to seamlessly perform all electronic design steps on the cloud.
 
In addition, this is also the second recent acquisition of Risa. The last acquisition was in January, and it was planned to acquire Nitrodona supplier Transphors for $ 339 million. The transaction is also expected to be completed in the second half of 2024.
 
According to Ruisa's latest financial report, in fiscal 2023, Ruisa's electronic revenue was 1469.4 billion yen, about 9.8 billion U.S. dollars, operating profit of 390.8 billion yen, about 2.6 billion US dollars.


 

































Ruisa said that AI related demand was strong in 2024, and the demand for automobiles was stable. The PC market had reached the bottom of the cycle, but industrial inventory adjustment continued until the second half of the year.
